O’KellySutton with Pat Sutton as Project Partner acted as Corporate and Financial Advisors to BioTector on its sale to Hach Company, a wholly owned subsidiary of Danaher Corporation (DHR), a fortune 500 corporation.
BioTector established 15 years ago, currently employs over 40 staff at its manufacturing plant in Ireland and has an extensive network of distributors worldwide including Europe, USA, Asia, Australia, Africa and the Middle East. It has approximately 1,500 installations in 48 countries worldwide. BioTector Analyzers monitor process wastewater to highlight areas for increased efficiency, sustainability and profitability. BioTector is a multi award winning company including most recently winner of the Irish Exporters Association’s Manufacturing Exporter of the Year 2013 and awarded the ‘2012 US Product Leadership Award’ by leading global research organisation Frost & Sullivan.

O’KellySutton were retained as exclusive financial advisors for the sale of the company. The sale realized the shareholders long term strategy to maximum shareholder value with a trade sale. The shareholders were seeking a strategic partner that could enhance the services provided to its global blue chip customer base and provide further opportunities for growth. Further, the shareholders were seeking a transaction that reflected the value of BioTector’s position in the market. Hach as an existing partner was identified as an ideal long term strategic partner and acquirer. A broad, competitive process, was undertaken which met all objectives of both the shareholders and BioTector.
The Sale Process
In its role as financial advisor O’KellySutton ran a targeted and highly confidential sale process. Following the initial strategic options evaluation O’KellySutton carried out a company valuation exercise and moved to prepare the Sale Information Memorandum, advising on the sale structure and key deal terms. Advised on due diligence, and assisted in negotiating the final terms and conditions.
